2009 Mid-Winter Meeting
The Board of Directors of IMSA unanimously approved the changes to the Constitution and By-Laws during the Mid-Winter meeting. The Constitution and By-Laws were combined into a single document called By-Laws. This has been the trend in governance documents for some time now and is a reflection of the current way to do business. Some highlights of the changes:
The Board will be made up of 7 members
a. Past President
b. President
c. President Elect
d. 4- Board members at large
The office of President Elect will be voted on by all eligible members of IMSA vs. election by the Board of Directors. The President Elect will automatically fill the positions of President and Past President. The four “At Large” members of the Board will be voted on by the Council of Delegates for one year terms with a term limit of three consecutive years.
The Council of Delegates will be elected by the Sections, each voting on one Delegate and one Alternate. This will ensure that the voice of the Sections will be represented across the organization.
These are just some of the many changes that will be discussed further at our Annual Meeting. Sections must vote to approve these changes in order for the proposed By-Laws to become effective.
